These terms and conditions govern your access to and use of https://investor.avenuelivingam.com (the “Investor Portal”). By accessing the Investor Portal, you acknowledge and agree that you have read and understand these terms and conditions and that you agree to be bound by them in respect of your use of the Investor Portal. Your continued use shall be your acceptance of such modifications.
The Investor Portal is available only to investors with registered accounts and log-on credentials. You are responsible for the confidentiality of your log-on credentials and account information, and for all actions taken on the Investor Portal while logged on with your credentials. You should not disclose your log-on credentials or account information and you should choose a unique password. The Company reserves the right to suspend or cancel Investor Portal accounts and log-on credentials at any time, for any, or no, reason and without notice. If you suspect that your log-on credentials have been compromised, please notify us immediately using the support contact information provided on the relevant account log-on page.
This Investor Portal is intended only for the use of the Company’s investors to access, view, copy and print information concerning your holdings. By accessing and using the Investor Portal, you represent that you are an investor in the Company and will only view, copy, and print the content of the Investor Portal for your personal use. You may not distribute information in the Investor Portal other than to your advisors for the purpose of obtaining advice in relation to your holdings.
If you request to add to, alter, amend or delete any of your information through the Investor Portal, you warrant that the information you provide is accurate and you agree to the use of that information by the Company including, where necessary, the transfer of the information to relevant third parties or to the extent required by law, to any government department or authority.
The security of your personal information is very important to us. We take commercially reasonable steps to protect your personal information from theft, loss, and unauthorized access or disclosure. However, the Internet is an open system and there is no absolute guarantee that the information you have sent to us or retrieve will not be intercepted by others and you assume that risk in accessing this Investor Portal. Your access to the Investor Portal may be terminated at any time by the Company. The Company has the right, without provision of notice to terminate provision of this Investor Portal or any portion thereof, for any or no reason at any time.
We have no obligation, nor any responsibility to any party, to monitor the Investor Portal or its use.
We make no representations, warranties, or guarantees, whether express or implied, that the content on the Investor Portal is accurate, complete, or up to date. To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless the Company, its parent, subsidiaries, affiliates, and their respective directors, officers, employees, agents, service providers, contractors, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your breach of these Terms and Conditions or your use of the Investor Portal other than as expressly authorized in these Terms and Conditions.
The Investor Portal and these Terms and Conditions will be governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without giving effect to any choice or conflict of law provision, principle, or rule (whether of the laws of the Province of Alberta or any other jurisdiction) and notwithstanding your domicile, residence, or physical location. While the Company will endeavour to take all appropriate measures to prevent the use or disclosure of personal information, other than as required for the purpose of carrying out the services of the Investor Portal, personal information processed and stored in a jurisdiction foreign jurisdiction may be accessible to foreign government agencies, including law enforcement and national security authorities.
